1. Introduction & Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "Customer") and Ascent24 Technologies LLP (LLPIN: AAP-8255) ("Company", "we", "us", "our"), a limited liability partnership registered in Tamil Nadu, India, operating the BestERP.in software-as-a-service platform ("BestERP", "Platform", or "Service") accessible at besterp.in and related domains, mobile interfaces, and APIs.

By creating an account, clicking "I agree", subscribing to a plan, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you accept on behalf of a company or other legal entity, you represent that you have authority to bind that entity. "You" then refers to that entity.

2. Definitions

• Account — the registered workspace and credentials used to access BestERP.
• Customer Data — data, files, and content you or your users submit to or store on the Platform.
• Modules — optional functional add-ons (e.g. CRM, HRM, POS) enabled per your subscription.
• Subscription — the paid or trial plan governing your access period, user limits, and entitled modules.

3. Eligibility & Account Registration

You must be at least 18 years of age and capable of entering into a binding contract under the Indian Contract Act, 1872 (or equivalent law in your jurisdiction). You agree to:

• Provide accurate, current, and complete registration information;
• Maintain the security of your password and restrict access to authorized personnel only;
• Promptly notify us at hi@besterp.in of any unauthorized use of your Account;
• Ensure users under your Account comply with these Terms.

You are responsible for all activity that occurs under your Account unless caused by our gross negligence or willful misconduct.

4. Description of Service

BestERP is a cloud-based business management platform offering CRM, ERP, HRM, accounting, POS, and industry-specific modules on a subscription basis. Features vary by plan and activated modules. We may update, improve, or discontinue features with reasonable notice where practicable, provided such changes do not materially reduce core functionality during a paid term without remedy or refund proportionate to the impact.

5. Subscription, Trials & Payments

5.1 Plans & Trials

Free trials, if offered, are subject to the duration and module limits displayed at signup. At trial end, continued access requires a paid Subscription unless you cancel.

5.2 Fees & Taxes

Subscription fees are as published on our pricing page or custom order form. Prices for Indian customers are typically quoted in INR and may be exclusive or inclusive of GST as stated at checkout. International customers may be billed in other currencies. You are responsible for applicable taxes, duties, or withholdings not collected by us.

5.3 Billing & Renewal

Paid Subscriptions renew automatically for the same billing period unless cancelled before the renewal date through your account or by written notice. Failed payments may result in suspension after reasonable notice.

5.4 Payment Processors

Payments may be processed by third parties such as Razorpay, Stripe, or PayPal. Your use of those services is subject to their terms. We do not store full card details on our servers.

5.5 Refunds

Except where required by applicable law (including consumer protection laws in India) or explicitly stated in a written agreement, fees are non-refundable once a billing period has commenced. Refund requests may be considered on a case-by-case basis for duplicate charges or proven service unavailability attributable to us.

6. Acceptable Use

You shall not, and shall not permit others to:

• Use the Service for unlawful, fraudulent, harassing, or harmful purposes;
• Violate the Information Technology Act, 2000, IT Rules, or other applicable Indian or international law;
• Upload malware, attempt unauthorized access, probe, or disrupt the Platform or other users;
• Reverse engineer, decompile, or copy the Service except as permitted by law;
• Resell, sublicense, or white-label the Service without our prior written consent;
• Use the Service to send spam or process personal data without lawful basis and appropriate notices;
• Infringe intellectual property, privacy, or other rights of any person.

We may investigate violations and cooperate with law enforcement as required.

7. Your Data & Content

You retain ownership of Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service, comply with law, and as described in our Privacy Policy.

You are responsible for the accuracy, legality, and backup of Customer Data. We implement reasonable security measures but recommend you maintain independent backups of critical business records.

Upon termination, you may export data where the Platform provides export tools. We may delete Customer Data after a reasonable retention period following termination, except where retention is required by law.

8. Intellectual Property

BestERP, its software, design, documentation, trademarks, and all related intellectual property are owned by Ascent24 Technologies LLP or its licensors. These Terms do not transfer any ownership to you. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service during an active Subscription.

9. Third-Party Services

The Platform may integrate with or link to third-party services (payment gateways, messaging APIs, cloud storage, etc.). We are not responsible for third-party terms, availability, or data practices. Your use of integrations is at your discretion and risk.

10. Service Availability & Support

We strive for high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will, where possible, be communicated in advance. Support channels and response times depend on your plan and are provided on a commercially reasonable basis.

11. Confidentiality

Each party shall protect the other's confidential information with reasonable care and use it only for purposes of this agreement. Confidential information does not include information that is public, independently developed, or lawfully obtained from a third party without restriction.

12. Warranties & Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements or that results will be accurate in all cases.

Nothing in these Terms excludes warranties that cannot be excluded under the Consumer Protection Act, 2019 (India) or other mandatory consumer rights where you qualify as a consumer.

13. Limitation of Liability

To the fullest extent permitted by law, neither Ascent24 Technologies LLP nor its directors, partners, employees, or agents shall be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, arising from your use of the Service.

Our aggregate liability for all claims relating to the Service in any twelve (12) month period shall not exceed the total fees paid by you to us for the Service in that period, or INR 10,000, whichever is greater, except where liability cannot be limited under applicable law (including death or personal injury caused by negligence, fraud, or willful misconduct).

14. Indemnification

You agree to indemnify and hold harmless Ascent24 Technologies LLP from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Data, your use of the Service, or violation of any law or third-party rights.

15. Suspension & Termination

We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees, pose a security risk, or if required by law. You may cancel your Subscription as provided in your account settings. Provisions that by nature should survive (including payment obligations accrued, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law) shall survive termination.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Courts at Coimbatore, Tamil Nadu, India shall have exclusive jurisdiction, subject to mandatory consumer forum jurisdiction where applicable under the Consumer Protection Act, 2019.

Before initiating formal proceedings, the parties agree to attempt good-faith resolution by written notice to hi@besterp.in for at least thirty (30) days. For international users, nothing in this section deprives you of protections afforded by mandatory laws in your country of residence where they cannot be contractually waived.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via the Platform, email, or website notice at least fifteen (15) days before they take effect where practicable. Continued use after the effective date constitutes acceptance. If you disagree, you must stop using the Service and cancel your Subscription.
